FINLY FINANCE — ALPHA TEST END-USER LICENSE AGREEMENT

This End-User License Agreement (the "Agreement") is a legal contract between you (the "User") and OpenGammaInc, the maker of Finly Finance (the "Licensor"), concerning the Finly Finance desktop application, including all source code, documentation, binaries, and related materials (collectively, the "Software"). By clicking "I agree" during installation or otherwise installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. ALPHA SOFTWARE — NO WARRANTY
The Software is provided in an alpha-quality, pre-release state for the sole purpose of evaluation, testing, and feedback. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR ITS USE.
2. NOT FINANCIAL OR TAX ADVICE
The Software is a personal-finance and tax-preparation aid. The calculations, estimates, summaries, and form previews it produces (including, without limitation, T1 General previews, refund or balance-owing estimates, CCR / Working Canadians Rebate projections, RRSP / FHSA / TFSA room calculations, and any provincial tax computation) DO NOT constitute professional financial, accounting, legal, or tax advice. The User is solely responsible for verifying every figure against their official records (T-slips, Notice of Assessment, source documents) and consulting a qualified professional before filing any return, making any financial decision, or relying on any output of the Software.
3. NO NETFILE OR OFFICIAL FILING
The Software does NOT submit tax returns to the Canada Revenue Agency or to any other tax authority. The "Submit to CRA (preview)" flow is a user-experience preview only. Real NETFILE submission requires CRA certification, which has not been obtained.
4. LICENSE GRANT
Subject to the terms of this Agreement and a valid license key provided by the Licensor, the Licensor grants the User a personal, non-transferable, non-exclusive, revocable license to install and run the Software on devices owned or controlled by the User for the User's own personal evaluation. The User may not (a) sublicense, sell, rent, lease, or distribute the Software; (b) reverse-engineer, decompile, or disassemble the Software except to the extent permitted by applicable law; (c) remove or alter any proprietary notices; (d) use the Software to provide services to third parties.
5. LICENSE KEYS AND REVOCATION
Access to the Software requires a license key issued by the Licensor. License keys are issued on a per-User basis. The Licensor may revoke any license key at any time, with or without notice, for any reason, including but not limited to breach of this Agreement, completion of the alpha period, or release of a subsequent version. A revoked license key may disable the Software on the User's device.
6. LOCAL DATA AND PRIVACY
The Software is designed to keep User data — including financial transactions, tax filings, uploaded documents, and SIN — on the User's local device. The Software does not transmit User data to Licensor's servers during normal use. Telemetry, if any, is opt-in and clearly disclosed. The User is responsible for backing up their data; the Licensor is not responsible for data loss caused by hardware failure, software defects, or other causes.
7. ALPHA FEEDBACK
Any feedback, bug reports, suggestions, or other materials the User provides to the Licensor regarding the Software ("Feedback") may be used by the Licensor without restriction or compensation for any purpose, including incorporation into future versions of the Software.
8. NO PUBLIC DISCLOSURE
The Software, including its features, user interface, performance, defects, and any documentation, is confidential during the alpha period. The User shall not publish reviews, screenshots, video walkthroughs, or otherwise publicly disclose the Software without the Licensor's prior written consent.
9. TERMINATION
This Agreement is effective until terminated. The Licensor may terminate it at any time. Upon termination, the User must cease all use of the Software and destroy all copies in their possession. Sections 1, 2, 7, 9, 10, 11 and 12 survive termination.
10. GOVERNING LAW
This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws provisions. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising from this Agreement.
11. PLANS, PRICING AND FEATURES
The Software may be offered in free and paid plans, tiers or editions. The Licensor may introduce, modify, reprice or discontinue any plan, tier, feature, quota or promotional offer at any time, including making previously free functionality paid, to the extent permitted by applicable law. Such changes take effect prospectively: they do not shorten, revoke or degrade a paid license already purchased for its remaining paid term. The free plan is provided as-is, may include occasional advertising, and carries no promise of continued availability.
12. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior oral or written agreements. If any provision is held unenforceable, the remaining provisions shall remain in full force.
BY CLICKING "I AGREE" OR BY OTHERWISE INSTALLING, COPYING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
